Terms & Conditions

1. Acceptance of Terms

By accessing or using any WISPGate property or service, you agree to be bound by these Terms & Conditions, the Privacy Policy, Cookie Policy, Acceptable Use Policy, Data Processing Agreement where applicable, Service Level Agreement where applicable, and any applicable order form or subscription document.

If you do not agree, you must immediately cease access and use.

2. Nature of Service

WISPGate provides hosted software, APIs, implementation services, migration assistance, technical support, and related tooling for telecom, ISP, WISP, fiber, hotspot, and mobile-network operations. WISPGate is a software provider. It is not a telecommunications carrier, internet service provider, payment processor, bank, regulator, data escrow agent, or guarantor of customer operations.

3. Eligibility and Authority

You represent that you have authority to bind the legal entity on whose behalf you use the services. If you use the services on behalf of an organization, references to “you” mean that organization and its authorized users.

4. Accounts and Security

  • You are responsible for all credentials, access permissions, API keys, session controls, and internal user management.
  • You must maintain accurate account and billing information.
  • You must promptly notify WISPGate of any unauthorized access, suspected compromise, or abnormal activity.
  • WISPGate may suspend access where it reasonably believes account integrity or platform security is at risk.

5. Fees, Billing, and Suspension

Unless otherwise expressly agreed in writing, services are prepaid. All fees are due in the currency and payment cadence stated in the applicable order form, invoice, quote, or subscription package.

  • All fees are non-refundable except where a written signed agreement expressly states otherwise.
  • Setup, onboarding, implementation, migration, customization, consulting, and integration fees are earned when work is performed and are non-refundable.
  • Late, failed, disputed, reversed, or blocked payments may result in immediate suspension, throttling, or termination without liability to WISPGate.
  • WISPGate may assess reasonable late charges, collection costs, gateway recovery costs, and external enforcement expenses where legally permitted.

6. Acceptable Use and Prohibited Conduct

You must comply with the Acceptable Use Policy. Without limitation, you must not use the services to facilitate fraud, spam, unlawful interception, unauthorized access, billing circumvention, SIM abuse, identity spoofing, intellectual-property infringement, malware distribution, denial-of-service activity, or regulatory evasion.

7. Third-Party Systems and Integrations

The services may integrate with network devices, cloud platforms, payment gateways, gateways, ERP systems, CRMs, ticketing tools, routers, OLTs, ACS systems, monitoring tools, or other third-party technology. WISPGate is not responsible for outages, failures, data corruption, degraded performance, API changes, security incidents, billing mismatches, or policy conflicts originating in or caused by third-party systems.

8. Data, Migration, and Customer Responsibility

You retain ownership of your business data. You are solely responsible for the lawfulness, quality, integrity, structure, completeness, and accuracy of all data supplied to WISPGate, including migrated legacy data. Migration assistance does not transfer ownership of data verification to WISPGate.

  • You must validate imported records, balances, taxes, service states, subscriber mapping, payment data, and enforcement logic before production use.
  • WISPGate is not liable for defects or consequences arising from inaccurate, incomplete, stale, duplicate, conflicting, or malformed input data.
  • You remain responsible for your regulatory obligations toward your own subscribers and end users.

9. Intellectual Property

WISPGate and its licensors own all right, title, and interest in the platform, software, databases, workflows, page designs, documentation, code, branding, methods, interfaces, and derivative works, excluding your customer data and your pre-existing materials. No rights are granted except the limited access rights expressly stated in applicable subscription documents.

10. Availability and Maintenance

Service availability targets, support levels, and service-credit rules are governed exclusively by the SLA where applicable. Except as expressly stated in a signed contract, the services are provided on an “as available” and “as is” basis. Maintenance windows, emergency actions, patches, dependency issues, and security interventions may affect availability.

11. Disclaimers

To the maximum extent permitted by law, the services are provided without warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, exact accuracy, fault-free automation, guaranteed compatibility, or guaranteed regulatory sufficiency. WISPGate does not warrant that the platform will prevent customer churn, billing disputes, fraud, misconfiguration, revenue leakage, or downstream operational harm.

12. Limitation of Liability

To the maximum extent permitted by law, WISPGate’s aggregate liability arising from or related to the services, site, documents, support, implementations, or these terms will not exceed the total recurring subscription fees actually paid by the customer to WISPGate during the thirty (30) days immediately preceding the event giving rise to the claim.

Under no circumstances will WISPGate be liable for indirect, incidental, consequential, exemplary, punitive, or special damages, or for loss of revenue, profits, goodwill, reputation, subscribers, contracts, expected savings, data opportunities, financing opportunities, business interruption, or regulatory exposure, even if advised of the possibility of such damages.

13. Indemnification

You will defend, indemnify, and hold harmless WISPGate, its affiliates, officers, employees, contractors, and licensors from and against all claims, liabilities, losses, damages, fines, penalties, settlements, and costs, including legal fees, arising from your data, subscriber conduct, regulatory violations, unlawful use, third-party disputes, misuse of the services, breach of these terms, or violation of applicable law.

14. Suspension and Termination

WISPGate may suspend or terminate any account, user, integration, API access, environment, or service component immediately and without prior notice where it reasonably determines there is non-payment, breach, abuse, security risk, legal risk, operational risk, or misuse.

Termination does not relieve you of accrued payment obligations. No refund is owed except where required by non-waivable law or expressly stated in a signed written contract.

15. Changes

WISPGate may amend these Terms & Conditions at any time. Updated versions become effective upon posting unless a later effective date is stated. Continued use after the effective date constitutes acceptance.

16. Governing Law and Forum

This Agreement and any dispute, claim, or controversy arising out of or relating to this Agreement, the Services, or the relationship between the parties (including non-contractual disputes), shall be governed by and construed in accordance with the laws of the State of Louisiana, United States of America, without regard to its conflict of laws principles. The parties irrevocably agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of Louisiana. Each party hereby consents to the personal jurisdiction and venue of such courts and waives any objection based on inconvenient forum, lack of jurisdiction, or improper venue.
